The Lusaka Apex Medical University Limited (LAMU) has the following job opportunity under Corporate Services.

JOB TITLE: CORPORATE SECRETARY/LEGAL COUNSEL

MAIN JOB PURPOSE:

  • To provide company secretarial services in accordance with the Companies Act Cap (388) of the Laws of Zambia and ensure that the company’s operations are in compliance with the principles of good corporate governance and the rule of law.
  • To provide legal services/advice as the Legal Counsel of the Company/University. The Corporate Secretary is also the Company’s Legal Counsel who represents the Company/University in all legal and other related matters/cases before the courts of law or tribunal or otherwise.

KEY RESPONSIBILITIES WILL INCLUDE:

1. Maintains proper records of shareholding structures in the Company for the benefit of Shareholders.

2. Convenes Board meetings in consultation with the Chairman of the Board, the Chief Executive Officer of the Company, and the Director of Legal and Corporate Services and ensures that such meetings conform with all legal and policy requirements in terms of company secretarial practice and administration.

3. Provides secretarial services to the Board, the Shareholders in general meetings and other organs of the Company.

4. Ensures that the Board and its Committees are provided with all requisite information and thereby enabling them discharge their functions in an effective manner.

5. Coordinates the preparation of Management Reports to the Board, Board committees and other organs of the Company/University.

6. Organizes the publication of Company Reports in conformity with requirements of the Companies Act and other relevant legislation.

7. Directs the calculation and disbursement of dividends to shareholders as may be declared by the Directors from time to time.

8. Ensures that Directors’ and Shareholders’ registers are maintained as required by law.

9. Prepares Statutory Annual Returns and files them with PACRA at prescribed by law.

10. Develop and maintain adequate record management systems to enable the Secretariat to functions efficiently.

11. Facilitates payment of appropriate allowances for Board Members and other persons entitled to such allowances, ensuring they are promptly and correctly remunerated and paid.

12. Legal Advisor to the Company/University on all relevant/various legislation, such as, the Higher Education Act, the Health Professions, Council of Zambia Act, the General Nursing Council of Zambia, the Employment Law and other legislation pertaining to the running of the Company/University as a training institution.

13. Leads in the preparation of the Board Charter, Terms of Reference for the Board Committees.

14. Ensures that the Company’s Register of Assets is maintained and the disposal of any assets thereof is in conformity with the Company’s policy on disposal of such assets.

15. Supervises the provision of effective administrative office support services at Corporate Head Office, including pool transport, record management and security services.

16. Manages the Disaster Recovery and Business Continuity Plans and Programmes to forestall business disruption in the event of major accidents or disasters.

17. Performs any other duty as may be directed by the Chief Executive Officer from time to time.

SKILLS AND ATTRIBUTES:

  • Managerial skills required to administer the Secretariat in accordance with company secretarial practice and administration so as to provide optimal services to LAMU.
  • Ability to provide good leadership and direction to subordinate staff to ensure efficient execution of their duties in order to enable the Department fulfill its mandate.
  • Generation of business statistics which are deliberated in Board meetings from time to time.
  • Excellent writing skills to take minutes during Board and other Company meetings, and drafting of Board papers, Annual reports and Company Returns.
  • Must be an effective communicator, tactful, and fair to be able to maintain good working relations and cultivate rapport with members of the public.
  • High level of confidentiality and willingness to work long hours.
  • Well organized and self-motivated.
  • Proficient with MS packages (Outlook, Word, Excel, statistical packages and Powerpoint).
  • Well-articulated legal practitioner conversant with legal system and court procedures of Zambia.

QUALIFICATIONS AND EXPERIENCE:

  • LL.B/LL.M Advocate of the Supreme Court of Zambia.
  • Membership of the Law Association of Zambia (LAZ).
  • Minimum experience of 5 Years in same or similar capacity.
