Our client, the Lusaka South Multi Facility Economic Zone Limited (LS MFEZ) is a subsidiary of the Industrial Development Corporation (IDC). LS-MFEZ Ltd was incorporated on 25th June 2012 with a mandate to manage, operate and develop the LS-MFEZ. The main purpose of establishing the LS MFEZ is to promote manufacturing activities, to be supported by commercial and residential facilities. The line Ministry for LS-MFEZ Ltd is Ministry of Commerce, Trade and Industry. LS-MFEZ Ltd is headed by the Managing Director who is supported by managers in various divisions.
Responsibilities
- To provide a comprehensive, high quality and cost effective legal service to the company and its Board of Directors in order to safeguard company interest and ensure smooth functioning of the Board in line with the companies Act and Articles of Association as well as assist management in the enforcement and interpretation of the laws and regulations relating to LS- MFEZ Ltd
- Attends to all matters of litigation
- Provides detailed guidance to the Managers of the company collectively and individually as to how best their duties, responsibilities and powers should be properly discharged in the best interest of the Company
- Provides a central source of guidance and advice to the Board, and within the Company, on matters of law, ethics and good corporate governance
- Compiles Board papers, and ensures that the Board’s decisions and instructions are communicated clearly to relevant persons
- Ensures that the minutes of all managers’ meetings and meetings of any committees of the Board are properly recorded
- Ensures that the company lodges with the Registrar of Companies all such returns as required of a public corporation and that all such returns are true, correct and up to date
- Provides, oversees, and ensures the efficient provision of professional legal services to the company
- Contributes to the company’s cost effectiveness by ensuring that sectional and Board activities are always with approved budgets
- Checks compliance on the implementation of technical policies and programmes of the LS-MFEZ
- Reviews and vets all legal agreements or transactions
Qualifications
- Full Grade 12 School Certificate
- Professional qualifications University Degree in Law
- Seven years of relevant post qualification experience in a reputable organization of which three years should be at senior level
- Should be an Advocate of the High Court and Supreme Court for Zambia with at least five years at the bar
- Good knowledge of Company law and litigation practice
- Membership to the Law Association of Zambia
- Strong interpersonal and influencing skills
- High level of analytical ability
- Good communication skills – both written and oral
- Good working knowledge of computers
