The National Pension Scheme Authority (NAPSA) wishes to recruit for the under listed position to be based at its Head Office in Lusaka. The successful applicant will be expected to have demonstrable competencies relevant to the job and will be offered competitive remuneration packages.

JOB TITLE: LEGAL MANAGER GOVERNANCE: NPS03 (01)

The Legal Manager – Governance is responsible for providing support to the Authority Secretary in the provision of secretarial services; formulation and implementation of Authority policies; monitoring and tracking the implementation of Board resolutions; ensuring efficient and effective operations of board and promotion of best practice corporate governance.

1.1 MAIN DUTIES AND RESPONSIBILITIES

The main duties and responsibilities for this role include:

  • Assist the Authority Secretary to provide a professional advisory service to the Board of Trustees and Board Committees on corporate governance issues and statutory requirements.
  • Assist the Authority Secretary to provide effective and efficient secretarial services in line with internally agreed timelines and standards.
  • Ensures the Authority is compliant with the laws, its constitutional documents, and mandates;
    • Prepares annual returns and all returns relating to governance.
    • Prepares input for Annual Report; and
    • Provides input into Audit reports.
  • Assist the Authority Secretary to identify shortcomings or opportunities for improvement in committee operations, provides recommendations for improvement to the chairperson/s and implements actions as agreed.
  • Ensures Board committee membership remains appropriately aligned to the organizational structure and that membership facilitates the ability of the Board committee to fulfill their mandate.
  • Ensure that a hard copy of every session of the Board and relevant Committee Pack are kept in the appropriate place.
  • Maintain the record of the updated laws, regulations, Board and Committee Charters, Governance Policies, Regulatory Statements and any other important governance documents that may need to be referenced by the Board.
  • Assist the Authority Secretary to review and reassess the adequacy of the Authority’s corporate governance principles and practices periodically and recommend proposed changes to the Board of Trustees.
  • Assist the Authority Secretary to prepare the Matters Arising schedule for board and committee meetings, indicating what action has been taken or why action has not been taken.
  • Coordinate board tours and other activities for board members.
  • Coordinate the conflict of interest disclosures, to be signed by every board member.
  • Represents the Directorate on designated management committees including the Integrity Committee to ensure adherence to the law, policy framework, and ethical behavior.
  • Compiles and prepares reports to various stakeholders as required.
  • Provides input into the budget preparation process.

1.2 MINIMUM REQUIREMENTS

  • Grade 12/ High School Certificate with Five (5) “O” levels including mathematics and English.
  • Bachelor of Laws (LLB).
  • Practicing certificate.
  • Not less than five (5) years’ experience as a Legal Manager, Governance, in an organization of similar size or reputable law firm with similar legal complexity.
