TITLE: REVIEW OF THE EXISTING CONSTITUTION FOR THE ZAMBIA ASSOCIATION OF GYNAECOLOGISTS AND OBSTETRICIANS (ZAGO)

TERMS OF REFERENCE FOR CONSULTANCY ASSIGNMENT

Introduction

The Zambia Association of Gynaecologists and Obstetricians (ZAGO) is a private, scientific, non-profit organization with social interest. The association was established in 2005 with the main function of bringing together and representing medical professionals who are specialized in Obstetrics and Gynaecology in Zambia.

ZAGO is an affiliate of the International Federation of Gynaecologists and Obstetricians (FIGO) which is a global institution representing the interests of Gynaecologists and Obstetricians and providing guidance to the practice of Obstetrics and Gynaecology globally. ZAGO undertakes various projects seeking to improve the Sexual and Reproductive Health and Rights (SRH&R) of Zambian women and adolescent girls.

The vision states: “Excellence in the practice of Obstetrics and Gynaecology through Education, research and advocacy”.

Tasks of the Consultant

1. Purpose for Consultancy

The main purpose for engaging the Consultant is to help in reviewing and amending the current ZAGO Constitution to capture the aspirations of the members of the association. The new Constitution must not be invariance to the Constitution of the Republic of Zambia or any other laws prevailing in the country. The Constitution must ‘stand the test of time’.

The Consultant will undertake this role by:

1. Reviewing areas in the current ZAGO Constitution to ensure that they reflect the desires and views of the members of the association;
2. Receiving submissions on specific areas in the current constitution requiring modification, alteration, enhancing or being clearly stated;
3. Considering changes proposed by the ZAGO general members; FIGO and other relevant stakeholders;

2. Key Roles for the Consultant

The Consultant is expected to perform the tasks listed below in consultation with the ZAGO Executive Council and the ZAGO Project Management Team (PMU).

1. Define the Goals, Vision, Mission and Values and their alignment with regional associations as well as the International Federation for Gynaecologists and Obstetricians (FIGO);
2. Define the membership to ZAGO (including criteria, process for becoming a member, membership request application, etc);
3. Define circumstances under which membership to ZAGO may cease (resignations, expulsion, etc);
4. Define membership fee if any, member rights, duties and obligations;
5. Define the governance structure (including the structure of the ZAGO Executive Council, the composition of the various committees, etc);
6. Define the election of the President, the ZAGO Executive Council, selection/election to various committees;
7. Define the duration of the term of the ZAGO Executive Council, various committees;
8. Define the roles and duties of the ZAGO Executive Council, roles for various committees, their powers, etc.
9. Define the distribution of power and responsibility;
10. Define the procedures for filling unexpired terms of office and/or removal from office;
11. Define the Dues (amount and collection procedures, any special fees, when payable) and the mechanisms for accountability;
12. Define options for the relationship and alignment with regional associations for Gynaecologists and Obstetricians;
13. Ascertain from the general membership of ZAGO, their views on the operation of the current ZAGO Constitution and, in particular, the strengths and weaknesses of the Constitution;
14. Draft a constitution for ZAGO with all the necessary elements in consultation with ZAGO Executive Council, ZAGO members, PMU and other relevant stakeholders;
15. Define the amendment procedures to any part of the ZAGO Constitution (means of proposals, notice required, voting requirements, etc);

3. Deliverables of the Consultancy

The Consultant is expected to submit the following Deliverables:

1. The Draft Constitution in soft copies and at least 3 in hard copies
2. The Report of the recommendations from ZAGO members and other stakeholders.
3. The Report of the one day stakeholders’ forum that captures the analysis of the inputs to the draft constitution from members.
4. The Final Constitution and final report after taking into account the input from the stakeholders.

4. Time Frame

  • The consultancy starts on Monday, 25th May 2020
  • The assignment should be completed within a period of two (2) weeks, inclusive of holidays and weekends
  • All deliverables to be completed within the stated period

5. Qualifications of the Consultant

5.1. Functional Competencies:

  • Knowledge on legal frameworks, legal drafting and sexual and reproductive health and rights;
  • Knowledge on the national legal context on sexual and reproductive health right;
  • Ability to research and write at a high level.
  • Knowledge in computer (word, excel, power-point)

5.2. Core Competencies:

  • Ability to produce high quality outputs in a timely manner;
  • Strong organizational skills; and
  • Ability to work independently.

5.3. Required Skills and Experience

  • Degree in law
  • Master’s degree in Law (masters in social science or public health may be considered)
  • Minimum of 5 years of relevant experience.
  • Experience and good knowledge on developing a constitution.
  • Experience in monitoring and evaluation especially for reproductive health and rights
  • Experience in advocacy work
  • Excellent written and spoken English language.
