Job Title: Company Secretary/Legal Council

Description of key Tasks:

  • To ensure that the corporation complies with all related legislations or regulations such as investment laws, corporate laws, telecommunication or broadcasting laws, labour law, intellectual property laws and contract laws
  • To advise the Board and senior managers of legal risks and viable solutions to matters arising in this the course of operation, to render legal analysis for legitimate, effective and efficient decision making
  • To assume the role of Company Secretary for active participation in the corporate governance under the instruction of the Board of Directors in accordance with the law, Memorandum and Articles of Association and the JV Agreement
  • To circulate calling notice agendas and minutes or resolution s of the annual general meeting, extraordinary general meeting and the meeting of the Board of Directors, and to file the minutes with the Registrar as required by law
  • To prepare all relevant documents, as directed by the Board or Law such as annual director’s report. For annual return filling purpose.
  • To establish and maintain an effective and efficient contractual management system with respect to contract drafting, reviewing, negotiation and execution in collaboration with other departments
  • To safeguard rights and interests of the company by lodging or defending claims in mediations, litigations or arbitrations
  • Other duties as assigned by CEO

All decision must be taken in conjunction with the CEO as approved and with the necessary approvals.

Qualifications

  • Age: 30- 40 Years
  • Degree Essential:  BCom Law / LLB or other related qualification. Admission as an Attorney or Advocate
  • Work Knowledge: Media relation, communication and social media
  • Language: English
  • Computer skill   Micro-Soft Office. Power point and Excel other
  • Legal and statutory obligations knowledge is preferred
  • 3 – 5 Years Cognate work experience.
